02What Grace is

Grace audits applications, reviews changes before they are committed, proposes fixes and runs scheduled checks, in its app and inside your editor. Some plans add work done by our engineers. What each plan includes is described where you buy it. We improve Grace all the time, so features change; if we remove a core part of a plan you have paid for in advance, we refund the unused part.

03Who can use Grace

Grace is for businesses and professionals. You must be at least 18 and use it for your trade, business or profession, not as a consumer. You may not use Grace if you are located in, or ordinarily resident in, a country under comprehensive US sanctions, or if you appear on a US government list of restricted parties.

04Your account

• Give us accurate information and keep it current.
• Keep your password, and the keys and connections you create for your editor, to yourself. You are responsible for what happens under your account, including what your team members do.
• Tell us straight away at hello@agent-grace.com if you think someone has used your account without permission.
• The owners of an account decide who joins it and what they can see.

05Your code and your data

Everything you connect or give to Grace (your code, your error reports, your app's data, your messages: “Your Content”) stays yours. You give us a worldwide, non-exclusive, royalty-free license to host, copy, analyze, transmit and display Your Content only as needed to provide, secure and support Grace for you. That includes sending it to the AI model providers named in our Privacy Policy.

We don't use Your Content to train AI models, and we don't sell it. We may use general lessons drawn from how Grace worked on a run, stripped of anything that identifies you, your apps or your code, to improve Grace.

You confirm that you have the rights and permissions needed to give us Your Content and for us to process it, including for code that belongs to your clients if you are an agency. Please don't put data into Grace that it does not need: health records, payment card numbers, government identifiers and other sensitive data belong out of the code and the data you connect.

You can withdraw our access at any time, by removing the Grace GitHub App or deleting an app in Grace. What happens to the copies we hold is set out in the Privacy Policy.

06What Grace produces

Reports, health scores, findings, fixes, pull requests, code and answers produced for you (“Output”) are yours to use for any purpose, once any payment they depend on has been made. Where a fix includes material we had before (a template, a rule, a helper), you get a permanent license to use it as part of your app.

Output is produced with AI and can be wrong, incomplete or insecure. A health score is an estimate, not a certification. No audit finds every problem. Review Output before you rely on it: nothing is merged into your code without your approval, and what you merge and deploy is your decision and your responsibility. Grace may produce similar Output for other customers, and nobody owns a common pattern.

07Acceptable use

You agree not to:

• connect code or data you are not entitled to share, or that it would be unlawful for us to process;
• use Grace to write, test or spread malware, or against systems you are not authorized to test;
• connect code built to escape the isolated environments Grace runs apps in, to mine cryptocurrency, or to attack anyone;
• try to reach another account's data, or get around Grace's isolation, limits, billing or security controls;
• scan, probe or load-test Grace beyond normal use, except to report a vulnerability in good faith as our security.txt describes;
• reverse engineer Grace or extract its rules, prompts or models, except where the law allows it;
• resell Grace, or offer it to others as a service, except an agency using it on its clients' apps under its plan;
• use Grace to build a competing product;
• use Grace in breach of any law, including export control and sanctions laws.

08Plans, payment and cancellation

• Plans and one-off purchases in the app cost what checkout shows, in US dollars, plus the taxes that apply. Stripe processes payments and issues invoices.
• Subscriptions renew automatically, monthly or yearly, until you cancel. Cancel at any time from the billing page: cancellation takes effect at the end of the period you have paid for, and you keep access until then.
• We give you at least 30 days' notice before a subscription renews at a new price.
• Some usage in the app is counted in credits. A plan's monthly allowance of credits expires at the end of each billing cycle; credits you buy separately don't expire while your account is open. Credits have no cash value and can't be transferred.
• If a payment fails, we tell you and try again. After 7 days without payment, we may suspend paid features until it goes through.
• Fees are not refundable, except where these terms, your order or the law say otherwise.
• Our prices exclude taxes. You pay the sales tax, VAT or similar taxes that apply, other than taxes on our income.

09Engagements with our engineers

Make It Solid, Keep It Solid and Agency Portfolio include work by our engineers. The prices on this website are starting prices: the price, scope, timing and payment terms of an engagement are agreed in writing, in an order or a quote, after we have gone through your report with you. Make It Solid's scope is agreed from your report before work starts.

• Fixes arrive as pull requests that you review and approve. We close an issue only with proof: the file changed and the tests passing.
• We need your help to deliver: access to the code, answers to our questions, and reviews within a reasonable time. A delay on your side moves our dates by the same amount.
• Monthly engagements renew each month until canceled, on the notice your order sets or, if it sets none, before the next month begins.

The fix warranty. If a fix we delivered in Make It Solid causes a regression within 15 days (something that worked before and no longer works because of our fix), we fix it at no cost. To use it, tell us within those 15 days, with enough detail for us to reproduce the problem. It does not cover changes made after our fix by you or anyone else, or problems in code we did not change. Fixing the regression is your remedy under this warranty.

10Other services you connect

Grace works with services run by other companies: GitHub, Google, Sentry, your editor, Stripe, Cal.com and others. Their own terms govern your use of them, and we are not responsible for them. If one of them changes or withdraws the access Grace relies on, the features that depend on it may stop working.

11Confidentiality

Each of us keeps the other's non-public information confidential: for us, your code and your business; for you, the non-public parts of Grace and the terms of any order. Each of us uses it only for this agreement and shares it only with the people and the service providers who need it and are bound by similar duties.

This does not cover information that is public through no fault of the one receiving it, was already known to them, was developed independently, or was lawfully received from someone else. Either of us may disclose information when the law requires it, after telling the other where the law allows. These duties last while the agreement runs and for three years after it, and for as long as the information is held in the case of source code and trade secrets.

12Our property, and your feedback

Grace, its software, its rules, its report formats and its brand belong to us or to those who license them to us. These terms give you the right to use Grace while your account is in good standing, and nothing more. Parts of Grace, such as the Grace Guardian plugin, are published under open-source licenses, which govern that code. If you send us ideas or feedback, we may use them without owing you anything. We will not name you as a customer without your permission.

13Early features and anything at no charge

Features we label beta, preview or early, and anything we provide at no charge (including the free audit and the Free plan), are provided as they are, may change or end at any time, and are outside every warranty and service commitment in these terms.

14Suspension and termination

You can stop using Grace at any time, cancel your subscription, and ask us to delete your account.

We may suspend or end your access if you break these terms (in particular the acceptable use rules or a payment obligation), if it is needed to stop harm or a security threat, or if the law requires it. We will tell you first where that is reasonable. We may also stop offering Grace altogether, with 60 days' notice and a refund of fees you prepaid for the period after it ends.

When your access ends, your right to use Grace ends with it. Download the reports you want to keep before that. We delete Your Content as the Privacy Policy describes. Everything in these terms that by its nature should outlast them does, including amounts owed, confidentiality, the disclaimers, the limits on liability and the indemnity.

15Disclaimers

We don't promise that nothing will ever go wrong. No honest engineer would. Apart from the fix warranty and anything a signed order says, and to the extent the law allows, Grace is provided “as is” and “as available”, and we give no other warranty, express or implied, including of merchantability, fitness for a particular purpose, title or non-infringement.

In particular, we don't promise that Grace will find every issue, that a fix will be free of errors, that the service will be uninterrupted, or that your app will be secure once you have used it. Keep your own backups of your code and data.

16Limitation of liability

To the extent the law allows:

• neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if warned they were possible;
• each party's total liability arising from these terms or Grace is limited to the amount you paid us for Grace in the 12 months before the event that gave rise to the claim, or US$100 if you paid nothing.

These limits do not apply to your obligation to pay, to your indemnity below, to a breach of the acceptable use rules, or to either party's fraud, gross negligence or willful misconduct.

17Indemnity

You will defend us, and pay the damages and reasonable costs awarded against us, in any claim by a third party arising from Your Content (for example, that you were not entitled to share it), from your use of Grace in breach of these terms, or from your breach of the law. We will tell you about the claim promptly, let you control its defence, and cooperate with you, and you will not settle it in a way that binds us without our consent.

18Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Before starting proceedings, write to us: we will try in good faith to resolve the dispute within 30 days. Failing that, the state and federal courts located in Delaware have exclusive jurisdiction, and both of us consent to it. Either of us may still ask any competent court for urgent relief to protect its intellectual property or confidential information.

19Changes to these terms

We may update these terms. For a material change, we tell you by email or in the app at least 30 days before it takes effect. If you keep using Grace after that date, the new terms apply; if you don't accept them, cancel before then and we refund the fees you prepaid for the period after it. A change does not alter a signed order before its renewal.

20General

• These terms, with any order and the DPA, are the whole agreement between us about Grace.
• You may not transfer them without our consent, except to a company that takes over your business. We may transfer them to an affiliate or to a successor.
• Neither of us is liable for a delay or failure caused by events beyond reasonable control.
• We send notices to the email on your account; send yours to us by email. A notice counts from when it is sent.
• If a provision is unenforceable, the rest still applies. Not enforcing a provision is not a waiver of it.
• We are independent contractors. Nobody else has rights under these terms.
• The English version of these terms is the one that counts.
